XReplicator License Agreement

Effective date: 2026-06-14. This agreement governs installation and use of XMigrate XReplicator software.

1. Agreement and Scope

This XReplicator License Agreement applies to the XReplicator software, agents, web interface, command-line tools, updates, documentation, and related components provided by XMigrate Inc. By installing, accessing, or using XReplicator, you agree to this agreement on behalf of yourself or the organization you represent.

2. License Grant

Subject to payment of applicable fees and compliance with this agreement, XMigrate grants you a limited, non-exclusive, non-transferable, revocable license to install and use XReplicator for your internal business backup, disaster recovery, migration, and restore operations during the applicable license term.

3. Permitted Users and Environments

You may permit employees, contractors, and service providers to use XReplicator only for your benefit and only under appropriate confidentiality and access controls. Your use may be limited by purchased capacity, nodes, protected systems, storage volume, features, subscription tier, or other order-specific terms.

4. Restrictions

  • You may not sell, sublicense, rent, lease, or provide XReplicator as a managed service without written permission from XMigrate.
  • You may not remove proprietary notices, bypass license controls, or misrepresent usage.
  • You may not reverse engineer, decompile, or attempt to derive source code except to the extent such restriction is prohibited by law.
  • You may not use XReplicator to violate law, infringe rights, disrupt systems, or access third-party infrastructure without authorization.

5. Ownership

XMigrate and its licensors retain all rights, title, and interest in XReplicator, including intellectual property rights. Except for the limited license expressly granted here, no rights are transferred to you. Feedback may be used by XMigrate without restriction or obligation.

6. Customer Data

You retain ownership of data, systems, backups, metadata, and configurations processed through XReplicator. XMigrate receives only the rights needed to provide software, support, troubleshooting, licensing, security, and service improvements. You are responsible for your data classification, backup scope, retention choices, encryption settings, access controls, and legal compliance.

7. Telemetry and License Validation

XReplicator may collect limited operational, diagnostic, license, and usage information to validate entitlements, improve product reliability, detect abuse, and provide support. Where offline or air-gapped deployment is supported, XMigrate may provide alternate license validation methods.

8. Open Source Components

XReplicator may include or interact with open source software. Those components are licensed under their respective open source licenses. To the extent an open source license conflicts with this agreement for that component, the open source license controls for that component only.

9. Support and Updates

Support, maintenance, and updates are provided according to your order, subscription, or support plan. XMigrate may modify, improve, or discontinue features, provided that material changes will not intentionally reduce core paid functionality during an active subscription without reasonable notice where practicable.

10. Security and High-Risk Use

You are responsible for validating backup and recovery workflows, testing restores, securing credentials, and maintaining independent continuity plans. XReplicator is not designed for uses where failure could directly cause death, personal injury, or severe physical or environmental damage without additional safeguards.

11. Warranty Disclaimer

To the maximum extent permitted by law, XReplicator is provided as is and as available. XMigrate disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free performance.

12. Limitation of Liability

To the maximum extent permitted by law, XMigrate will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or replacement services. XMigrate aggregate liability will not exceed the amounts paid for XReplicator during the twelve months before the event giving rise to the claim.

13. Termination

XMigrate may suspend or terminate access for non-payment, material breach, security risk, or legal requirement. Upon termination, you must stop using XReplicator and delete or return licensed software where required, except for archival copies retained for legal compliance.
